We offer environmental expertise in corporate
transactions, through environmental due diligence and negotiation and
contract drafting. We have represented purchasers, sellers and lenders,
providing counsel in understanding and evaluating potential risk, and
quantifying exposures.
Our corporate experience includes the following:

Representing a European client who entered
into a highly publicized 99-year lease to operate a public airport, the
first (and only) privatization of a government-run airport facility (and
former military base) in the United States. This transaction and the
implementation of the lease continue to raise numerous complex
environmental issues, such as allocation of liability, and responsibility
for performance of investigatory and remedial work.

Representing a private equity firm as
environmental counsel, performing diligence for a broad range of
transactions in a variety of industries, including off-shore oil drilling,
concentrated animal feeding and supplying jet fuel.

Serving as United States environmental
counsel for a European manufacturing corporation in its worldwide
divestiture of $450 million worth of manufacturing facilities. We
performed due diligence disclosure, negotiated contracts and oversaw
post-closing remedial and compliance obligations.

Providing contract negotiation support and
performing environmental due diligence for a large transportation company
in its purchase of a school bus service operator with facilities and
routes in Texas, California and Washington, making our client one of the
largest bus operators in the country.
